These Terms of Service ("Terms") are an agreement between you and Secure Medical, Inc., which operates PillWatch ("PillWatch," "we," "us"). They apply to anyone who visits pillwatch.com or uses the seal lookup ("visitors") and to any business that applies for or subscribes to PillWatch services ("brands"). By using the site or subscribing, you agree to these Terms. If you are accepting on behalf of a business, you confirm you have authority to bind it.
Brands that display the PillWatch Seal must also follow the Seal License, which is part of these Terms. Our Privacy Policy explains how we handle personal information.
1. What PillWatch provides
PillWatch reviews documents from brands to verify that a specific product is made by a licensed manufacturer and sourced through licensed distributors. Products that pass receive a seal ID and a public verify page. We also monitor major marketplaces monthly for listings that misuse a member brand's name or the seal. 2. The verify tool is informational
The seal lookup and verify pages show the status of a product's sourcing verification as of the date last checked. They are provided for general information only. They are not medical advice and are not a recommendation to buy or use any product. Status can change between checks, and a verify page reflects documents the brand provided to us. Talk to a health care professional before starting any supplement.
3. What the seal is not
The PillWatch Seal is a sourcing verification. It is not approval, clearance or endorsement by the U.S. Food and Drug Administration or any other government agency. It is not a guarantee that a product is safe, effective, free of contaminants or suitable for any person, and it is not a claim about any health benefit. Unless a verify page shows lab results on file, the product has not been tested by or for PillWatch, and lab results apply only to the samples tested.
4. Subscriptions and billing
- Plans. Plans, features and prices are listed on our site at the time you subscribe. Prices are in U.S. dollars and exclude any applicable taxes.
- Payment. Payments are processed by Stripe. By subscribing, you authorize recurring charges to your payment method for each billing period (monthly or yearly) until you cancel. You are also subject to Stripe's terms for payment processing.
- Price changes. We may change prices with at least 30 days' notice. Changes take effect at your next billing period after the notice.
- Failed payments. If a payment fails and isn't resolved, we may suspend services and mark seals inactive.
- Review is not a guaranteed result. Your subscription pays for review and monitoring. Not every product passes, and a product that does not pass does not receive a seal.
5. Cancellation and refunds
- Monthly plans can be cancelled at any time. Cancellation takes effect at the end of the current paid month.
- Yearly plans cover the full paid term. You can cancel renewal at any time, and service continues until the end of the term.
- We do not give refunds or credits for partial billing periods, unused labels or unused services, except where required by law.
- When a membership ends, all seals for that brand become inactive, and the Seal License rules for removing the seal apply.
6. Brand obligations
As a brand, you agree to:
- provide documents that are genuine, complete, current and truthful, and not to alter or misrepresent any document;
- notify us in writing before, or promptly after, any change of manufacturer, distributor or other supplier for a verified product, and any expiration, suspension or withdrawal of a registration, license or GMP certification we relied on;
- complete re-verification at least yearly and whenever we request it;
- use the seal only as the Seal License allows;
- comply with all laws that apply to your products, labeling and marketing, including FDA and FTC requirements; and
- keep your account and contact information current.
You are solely responsible for your products, including their safety, quality, labeling and marketing claims.
7. Site use
You agree not to misuse the site, including by scraping it in bulk, interfering with its operation, attempting to access admin areas or other accounts, uploading malicious files, or submitting false reports. Content on the site, including the PillWatch name, logo and seal, belongs to Secure Medical, Inc. and may not be used except as these Terms or the Seal License allow.
8. Suspension and termination
We may suspend services, mark a seal inactive, or terminate a brand's membership if the brand breaches these Terms or the Seal License, provides false or misleading documents, fails re-verification, fails to pay, or uses the seal in a way that could mislead consumers. Where practical, we will give notice and a chance to fix the problem first. We may act immediately where we believe consumers could be misled or harmed. You may end your membership by cancelling as described above. Sections that by their nature should survive termination, including disclaimers, limitation of liability, indemnity and governing law, survive.
9. Disclaimers
To the fullest extent permitted by law, the site, the verify tool, the seal and all PillWatch services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. Our verification relies on documents supplied by brands and third parties, and we do not warrant that those documents are accurate, that monitoring will find every misuse, or that the site will be uninterrupted or error-free.
10. Limitation of liability
To the fullest extent permitted by law, Secure Medical, Inc. and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to the site or our services. Our total liability for any claim related to the site or our services is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or $100 if you have not paid us anything. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
11. Indemnity
Brands agree to defend, indemnify and hold harmless Secure Medical, Inc. and its officers, employees and agents from any claims, losses, damages and expenses, including reasonable attorneys' fees, arising from the brand's products, documents, labeling or marketing, its use of the seal, or its breach of these Terms or the Seal License.
12. Governing law and disputes
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Arizona, and you consent to their jurisdiction, except where the law of your place of residence requires otherwise.
13. Changes to these Terms
We may update these Terms. We will change the effective date above, and for material changes we will give subscribing brands notice by email or on the site. Continuing to use the site or services after changes take effect means you accept them.
14. General
If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. These Terms, the Seal License and the Privacy Policy are the entire agreement between you and us about their subject.
